GENERAL SALES CONDITIONS
- Definitions
1.1. Customer: User/consumer who purchases or orders products, goods and/or services through the Marketplace.
1.2. Companies / Sellers: Legal entities previously validated by AEB that make their products, goods and/or services available for sale on the Marketplace.
1.3. Marketplace: Electronic online commerce platform accessible at www.centrobraga.pt, owned by AEB, which intermediates the commercial relationship between Customers and Sellers.
- Object
2.1. These General Sales Conditions regulate commercial transactions carried out on the Marketplace, including the acquisition of products, goods and/or services made available by participating Sellers.
2.2. Use of the Marketplace implies full and unreserved acceptance of these General Sales Conditions. If the Customer does not agree with the terms established herein, they should not use the platform.
- Role of AEB
3.1. AEB provides the technical and digital infrastructure that enables interaction between Customers and Sellers.
3.2. AEB is not an integral part of the transactions concluded, and does not act as an agent, distributor, representative or reseller of the products or services offered.
3.3. All responsibility for products and services (including conformity, quality, delivery, invoicing or warranty) lies exclusively with the Sellers.
- Platform functionalities
4.1. The Marketplace allows the Customer to:
- Create a personal account;
- Contact Sellers and place orders;
- Make payments for products and services;
- Track orders.
4.2. Access to functionalities requires:
- Account registration with a valid email;
- Active session on the Marketplace.
- Customer
5.1. Only individuals over 18 years of age can create an account and make purchases.
5.2. The Customer declares to act as an end consumer (B2C).
5.3. The Customer undertakes to provide true, complete and up-to-date data, and to keep it updated.
5.4. The Customer is responsible for the use of their access credentials, which must be kept confidential.
- Registration and account
6.1. Registration is free and requires email confirmation.
6.2. The account may be canceled by AEB in the following situations:
- Inactivity for more than 24 months;
- Violation of the General Conditions or Terms of Use;
- Acts harmful to the Marketplace or its participants;
- Security reasons.
6.3. The Customer will be informed of the account deactivation with a minimum advance notice of 30 days, except for serious reasons.
- Products and services
7.1. The description, availability, prices, shipping and warranties of products and services are the responsibility of the Sellers.
7.2. AEB does not guarantee the accuracy of information provided by Sellers, as provided for by law.
- Sales conditions
8.1. Prices are set by the Sellers, indicated in euros (€), including VAT.
8.2. Shipping costs are not included in the product price and are presented at the checkout phase.
8.3. The invoice must be sent with the product or made available in the Customer’s account.
- Contract conclusion
9.1. The contract between Customer and Seller is concluded under the resolutive condition of product availability.
9.2. After payment, the Seller has up to 2 business days to confirm availability.
9.3. The contract is only considered valid after this confirmation.
9.4. The Customer will be informed by email about the shipping or cancellation of the order.
9.5. In case of stock shortage, the amount paid will be refunded.
- Shipping and delivery
10.1. AEB is responsible for selecting carriers and the Marketplace informs the Customer about delivery times and costs.
10.2. The Customer is responsible for ensuring that delivery data is correct.
10.3. If pickup is done at the Company’s establishment, there are no delivery costs.
- Verification
11.1. The Customer must verify the conformity of the products with the order.
11.2. Any non-conformity must be reported to the Seller.
- Right of withdrawal
12.1. The Customer may withdraw from the contract within 14 calendar days after receipt, without the need for justification.
12.2. The return must occur within 30 days after receipt, in original condition.
12.3. The Customer bears the return costs, unless otherwise agreed.
12.4. The refund will be made after receipt or proof of return.
12.5. Exceptions provided by law apply (e.g., customized goods, perishable goods, sealed goods, digital content, periodicals, etc.).
- Warranties
13.1. The rules of Decree-Law No. 84/2021, of October 18 apply.
13.2. The Customer may require restoration of conformity, price reduction or contract resolution in case of defect.
13.3. Commercial warranties granted by manufacturers do not prejudice the consumer’s legal rights.
- Value Added Tax (VAT) rates applicable in each European Union Member State
- Personal data
15.1. The processing of personal data in registration and navigation is the responsibility of AEB.
15.2. In the context of purchase, processing is the joint responsibility of AEB and the Sellers.
15.3. Sellers are exclusively responsible for data collected in fulfilling their commercial obligations.
15.4. The Privacy Policy applies in full and is available on the platform.
- Security
16.1. The Marketplace uses SSL encryption and other security measures to protect personal data and transactions.
- Liability
17.1. AEB is only liable for damages directly caused by its intentional or negligent acts.
17.2. AEB is not responsible for errors by Sellers, external technical failures, or misuse of the platform by the Customer.
17.3. Liability for purchase and sale contracts lies exclusively with the Sellers.
- Intellectual property
18.1. All content on the Marketplace is protected by copyright and intellectual property rights.
18.2. Reproduction, in whole or in part, is prohibited without prior written authorization from AEB.
- Disputes
19.1. Disputes must be resolved between the Customer and the Seller.
19.2. AEB assumes no responsibility for contractual relationships between the parties.
19.3. The parties must make efforts for amicable conflict resolution.
- Final provisions
20.1. The nullity of any clause does not prejudice the validity of the others.
20.2. The General Sales Conditions may be changed for legal, technical or operational reasons, with a minimum advance notice of 15 days.
20.3. Portuguese law applies.
20.4. The competent court is that of Braga, with express waiver of any other.
